Terms of Service

Effective 15 July 2026. By registering, paying, using the portal, agent, or services of TUCE MSP (msp.tuce.app), you ("Customer") agree to these Terms and the Liability protections. Client contracts are signed on msp.tuce.app (portal e-sign). A signed MSA / SOW on the portal controls where it conflicts with this web summary. See /contracts.

1. Parties & scope

TUCE provides network assessments, quotes, cutover projects, managed IT retainers, remote assist, and related professional services described on msp.tuce.app and in Customer's portal/quote. Cloud consumption, domains, and OEM gear remain billed by those vendors unless stated otherwise.

2. Audit fee

The business network audit fee is $999 USD (flat, non-discountable unless TUCE agrees in writing). Audit fees are generally non-refundable once the assessment agent has been downloaded or onsite/remote assessment has begun, except where required by law or TUCE elects a courtesy credit.

3. Quotes, BOM & approvals

Quotes are estimates based on available inventory and assumptions until Customer approves. Hardware availability, freight, travel, and currency can change priced lines until downpayment. Approval authorizes procurement and scheduling subject to payment terms on the portal.

4. Payments

Audit fee, equipment downpayment, completion balance, and retainers are due as shown in the portal. Late amounts may pause scheduled work. Title to equipment may remain with vendor/TUCE until paid in full where applicable.

5. Access & remote assist

Customer authorizes MFA-gated portal roles and audited remote assist / remote control agent sessions (LogMeIn/AnyDesk-class and RMM) under this MSP contract or SOW only. Assessment utilities remain read-only until managed engagement begins. Customer must revoke access for departed staff and keep MFA enrolled. Protocol and monitoring baselines (VSS, Linux versioning, SNMP suite, VPN, etc.) are described at /protocols.

6. Change control

Production changes follow approved roadmaps. Bypass of best practice requires top-level Customer approval or a logged emergency. Backups before and after changes are required operating practice; Customer remains responsible for data retention policy and legal holds.

7. Acceptable use

Customer will not use services for unlawful activity, to attack third parties, or to circumvent security/logging. TUCE may suspend access for abuse, non-payment, or material risk to other customers.

8. Confidentiality & data

Each party protects the other's confidential information. Customer content and data files belong to Customer. TUCE processes log-level operational telemetry only (errors, heal outcomes, debugging metadata) for MSP automation - not customer documents, emails, or database contents. See /privacy. A DPA/BAA is available on request before intentional PHI processing.

9. Liability

Liability is limited as stated in Liability protections (12-month fees cap; no consequential damages except as prohibited by law).

10. Term & termination

Project work ends on completion/payment. Retainers renew monthly or yearly as quoted until cancelled with notice per the SOW (default thirty (30) days written notice for month-to-month). Termination does not erase amounts already due.

11. Governing law & disputes (outside court)

Florida law governs (without conflict-of-laws rules). Disputes are resolved outside of court: good-faith negotiation (15 days) -> mediation -> binding AAA commercial arbitration. Each party waives court litigation and jury trial for covered claims except to compel arbitration, enforce an award, seek temporary injunctive relief for IP/trade secrets, or bring an individual small-claims action. 12. Changes

TUCE may update these web Terms; material changes apply to new orders after posting. Ongoing retainers follow the terms in effect at renewal unless negotiated.
